Terms of Service - AgentK AI Automation

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the AgentK website or AI automation services operated by AgentK ("us", "we", "our"), a South African AI automation agency based in Cape Town.

1. Acceptance of Terms

By accessing or using our AI automation services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access our services. These terms are governed by South African law.

2. AI Automation Services Description

AgentK provides comprehensive AI automation services, including but not limited to workflow design, business process automation, AI strategy consulting, and implementation using tools such as N8N, Zapier, Make.com, CrewAI, and LangChain. The specific services to be provided will be outlined in a separate agreement or statement of work between AgentK and the client.

3. User Accounts and Data Security

When you create an account with us for our AI automation services, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account and services.

You are responsible for safeguarding the password that you use to access our services and for any activities or actions under your password. We implement industry-standard security measures to protect your data.

4. Intellectual Property and AI Solutions

Our AI automation services and their original content, features, and functionality are and will remain the exclusive property of AgentK and its licensors. Our services are protected by copyright, trademark, and other laws of both South Africa and foreign countries.

Unless otherwise specified in a separate agreement, we retain all rights, title, and interest in any AI automation software, tools, workflows, or systems developed or used in the provision of our services.

5. Client Data and Automation Workflows

You retain all rights to your business data. By using our AI automation services, you grant us a license to access, use, process, and store your data solely for the purpose of providing our automation services to you.

We will maintain appropriate administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of your data in accordance with South African data protection laws.

6. Payment Terms for AI Automation Services

Payment terms for our AI automation services will be specified in a separate agreement or statement of work. Unless otherwise specified, invoices are due within 30 days of issuance. All payments are in South African Rand (ZAR) unless otherwise agreed.

We reserve the right to suspend AI automation services if payment is not received within the specified timeframe.

7. Limitation of Liability

In no event shall AgentK, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our AI automation services;
• Any conduct or content of any third party on our services;
• Any content obtained from our services; and
• Unauthorized access, use, or alteration of your transmissions or content.

8. Service Termination

We may terminate or suspend your account and AI automation services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our AI automation services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services with appropriate notice as specified in your service agreement.

9. Governing Law - South African Jurisdiction

These Terms shall be governed and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. Any disputes arising from these terms or our AI automation services will be subject to the jurisdiction of South African courts.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our AI automation services after those revisions become effective, you agree to be bound by the revised terms.
